Recently, the CEO and co-founder of FTX has been subjected to criminal charge as a result of corporate fraud. 1 This amongst other corporate illicit activities continue to bring the discourse of the doctrine of corporate personality to limelight. Axiomatically, there exist separate persons upon the registration of a company and the essence is to foster practicability and efficacy of businesses. 2 There is no doubt about the statutory exceptions to corporate personality however, the attitude of the Court has been unsettled in creating well cutout exceptions to this doctrine. To this end, this study examines the principle of corporate personality, considers the statutory exceptions, the swerving attitude of the Court to lifting corporate veil as well as the development and or extension of the veil piercing to matrimonial causes and tortious act of parent and subsidiary of multinational enterprises. 2.0 Principle of Corporate Personality Company law is rooted in the general law that a registered business has a personality separate from that of its owners-shareholders. This rule was laid down by the House of Lords in Salomon's case. 3 As a background, Salomon, the majority shareholder with a secured debenture, sued his company when the company became insolvent. This study examined the effect of board composition on the financial performance of listed commer... more This study examined the effect of board composition on the financial performance of listed commercial banks in Nigeria. The specific objectives of the study are: to assess the influence of CEO duality on the financial performance of commercial banks in Nigeria; to examine the influence of board gender on the financial performance of commercial banks in Nigeria; and to determine the influence of board size on the financial performance of commercial banks in Nigeria. A total of eight commercial banks were used as sample size for the study. The study covered a five year period (i.e., 2016-2020). The study used secondary data to reach study findings. Data collected from the study were analysed using multiple regression technique processed on SPSS. From the analysis of the study, it is found out that only board size haS significant influence on the financial performance of commercial banks in Nigeria. That is to say that CEO duality and board gender have no significant effect on the financial performance of commercial banks in Nigeria. The study therefore recommends a majority of board members be female to provide some additional skills and perspectives that may not be possible with all-male boards.
