In the first part, we have discussed the requirements of an ethical discipline procedure, which regard practices that are sanctioned, the characteristics of rules that are imposed, the system of sanctions and disciplinary procedure. In the second part, we have analyzed layoffs and we argued that they are legitimate if some conditions are met. These conditions refer to how the management should communicate with employees, select the laid-off employees, and mitigate the harm incurred to employees and communities. We have finished with some conclusions.

Starting from the Carroll’s CSR pyramid model, we show that the concept of CSR as currently used is limited to the two top levels: ethical and discretionary. After discussing the relations between these two levels, we show that the main ethical obligation of the companies is to mitigate the harmful effects of their business activity, and the CSR activities should take primarily this direction. In the end, we will provide few guidelines for an ethical approach to CSR practices.

In the first section, we argue that legitimacy of such policies can be analyzed in terms of a conflict of rights. In the second section, we identify some general factors that are relevant for deciding which right takes priority in such conflicts. We apply the general discussion in the second section to two corporate policies.

We draw the distinction between two lines of argumentation against business ethics: the former based on real-life examples of unethical conduct in business, and the latter based on theoretical and normative arguments. We show in the first section why the first line is not successful. In the second section we examine in more detail the arguments in the second category. First, we argue that the idea that profit is the purpose of business does not lead to the conclusion that there are no ethical norms that should be observed in business. Secondly, we argue that ethical principles are not confined to the sphere of personal life or, in the professional life, to that of public institutions. We analyze the distinctions between ethical norms applicable to the field of business and those applicable to the public sector.
