The applicable laws are considered and set out in relation to the mergers and take-overs and some relevant examples are given. The paper concluded by stating the efficiency or otherwise of the rules and regulations.

We also look at the various approaches to corporate governance such as comply-and-explain and the codification approach. A number of codes from different countries are then looked at in analysis of the approach taken. The paper then looks at the board structures and control mechanisms in corporate governance, and the effectiveness of the latter. The paper concludes by looking at the Kenyan Corporate Governance Code of 2014 and the agency problems encountered by various models.
