This chapter investigates the influence of the board composition and leadership on Corporate Soci... more This chapter investigates the influence of the board composition and leadership on Corporate Social Responsibility (CSR) disclosure. The empirical study of 68 Tunisian listed companies and 100 Egyptian listed companies reveals that board independence, foreign directorship, female directorship and state directorship, influence positively CSR disclosure. However, these findings indicate that CEO duality has a negative impact on CSR disclosure. Overall, the findings are consistent with the agency theory as well as the stakeholders theory and suggest that CSR disclosure seems to result from the willingness to meet shareholders' expectations in terms of transparency and voluntary disclosure of non-financial information.

This paper reviews the corporate governance practices of listed Tunisian companies. Besides that,... more This paper reviews the corporate governance practices of listed Tunisian companies. Besides that, the paper explores the evolution of corporate governance legislation between 2013 and 2017 in order to identify the changes caused by the revolution to accompany the current context’s needs and the democratic transition in Tunisia. Although the most of companies in Tunisia are dominated by family small and medium enterprises (SMEs) and very small enterprises (VSEs) we have chosen to focus on listed companies. These companies present more advanced practices of corporate governance given the legislation in force. Results of this paper shed light on several important features of the Tunisian corporate governance system, for example, interlocking directorates. It is interesting to notice that a limited number of directors control the majority of the market capitalization in Tunisia. This paper aims to go beyond the conventional approaches to identify the different board roles that can contribute to enhance the creation of a given type of value according to company objectives, stakeholders’ interests and environment expectations.The conceptual study has allowed us to identify three main board roles: a control role, a strategy role and a service role. Regarding value creation, we retained a typology with three kind of value: the economic value, the social value and the institutional value.The survey of 52 Tunisian listed companies revealed a positive relationship between two board roles and the three types of value creation.

The aim of this paper is to demonstrate that the good governance practices are a driver of stakeholder’s satisfaction and therefore a factor of a sustainable competitive advantage development in the developing economies that do not have active markets and sound external institutions with the power to establish good corporate governance practices.The literature review provides core references related to the the good corporate governance conceptualization through three dimensions: Prerequisites (Governance structures and Directors’ skills), Principles (Responsibility, Accountability, Fairness and Transparency) and Mission (board monitoring and strategic guidance). The survey of 52 Tunisian listed companies revealed that the corporate governance have a positive and partial impact on stakeholder’s satisfaction.

Purpose The purpose of this paper is to examine the link between board of directors’ roles namely... more Purpose The purpose of this paper is to examine the link between board of directors’ roles namely strategy, service and control roles and ambidextrous innovation. This study also aims to determine whether the independence and gender diversity of boards have mediating effects in this relationship. Design/methodology/approach On the basis of a quantitative approach, the authors conducted a survey on all Tunisian-listed firms. A partial least square method was used to analyze the quantitative data. The authors also conducted semi-structured interviews with a sample of boards’ members of the surveyed firms followed by a thematic analysis of the discourses to discuss the results. Findings Results revealed that ambidextrous innovation is negatively linked to board’s control role. The outcomes of this research show also that ambidextrous innovation is positively associated with board’s service role and that the gender diversity moderates positively this link. L'objet de cet article est d'examiner la relation entre les rôles et la composition du conseil d'... more L'objet de cet article est d'examiner la relation entre les rôles et la composition du conseil d'administration (CA) et l'innovation. Une revue de la littérature montre que ce thème a été peu traité jusqu'à présent et que les résultats empiriques des recherches ayant analysé les liens entre ces variables restent controversés. En particulier, cette recherche apporte un éclairage sur l'effet de la présence de femmes et d'administrateurs indépendants au sein du CA ainsi que des rôles de cet organe sur deux types d'innovation à savoir l'innovation d'exploitation et l'innovation d'exploration. Ces relations ont été testées au moyen d'une étude quantitative menée auprès d'un échantillon d'entreprises tunisiennes cotées à la Bourse des Valeurs Mobilières de Tunis (BVMT), sur la base d'un questionnaire incorporant en particulier les items mesurant les deux types d'innovation et d'autres questions relatives aux tâches réalisées pendant les réunions du CA. Nous nous sommes aussi fondés sur des données publiées par la BVMT et le Conseil du Marché Financier (CMF) ainsi que sur les rapports annuels des entreprises cotées. Les données collectées ont été traitées par des analyses de régression. Les résultats mettent en exergue que l'innovation d'exploration est tributaire de la proportion des femmes administrateurs et du rôle de service du CA. L'innovation d'exploitation est, quant à elle, positivement liée au rôle de stratégie du CA mais négativement liée au rôle de contrôle du CA. En outre, l'indépendance du conseil n'affiche pas d'effets statistiquement significatifs avec les deux types d'innovation. Cette recherche met en valeur les implications managériales pour les entreprises tunisiennes cotées en bourse qui peuvent se baser sur les résultats de ce travail pour améliorer leur pratiques de gouvernance en matière de profil des administrateurs siégeant au sein du CA et des tâches qui doivent figurer à l'ordre du jour des réunions du conseil et pour soutenir l'innovation A cet égard, elles doivent aller au delà du seul critère de l'actionnariat pour siéger au sein de leurs organes de gouvernance et penser à inclure des administrateurs de sexe féminin ainsi que des administrateurs pouvant permettre au conseil de jouer davantage un rôle de service et de stratège indispensable pour favoriser l'innovation. Le législateur tunisien ainsi que les organisations professionnelles peuvent aussi s'inspirer des résultats de cette recherche afin de proposer des codes et des lignes directrices de gouvernance d'entreprise permettant aux sociétés cotées d'être plus innovantes et compétitives dans un contexte de plus en plus concurrentiel.

Cet article vise à aller au-delà des approches conventionnelles de l'internationalisation en identifiant les rôles et les caractéristiques du conseil d'administration pouvant avoir un effet sur le degré d'internationalisation des entreprises étudiées.
Les résultats de l'étude empirique portant sur 68 sociétés tunisiennes cotées révèlent un effet positif de rôle de stratège et de service du conseil d'administration sur le degré d'internationalisation. En outre, il a été montré que le rôle de monitoring du conseil d'administration ainsi que la taille de ce dernier ont des effets négatifs sur le degré d'internationalisation des entreprises étudiées. Les résultats obtenus convergent vers les enseignements de la théorie de l'agence ainsi que ceux de la théorie de la dépendance envers les ressources et suggèrent qu' une approche entrepreneuriale de la gouvernance d'entreprise, où le conseil d'administration est un atout stratégique de pilotage et de prise de décision, est plus appropriée pour les entreprises tunisiennes cotées compte tenu de la concentration de leurs structures de propriété ainsi que des spécificités du cadre institutionnel de l'économie tunisienne.

The survey was conducted on a sample composed of 50 Tunisian corporate groups using a questionnaire
designed to be filled by the directors and the top management members. The regression analysis revealed the perceived business continuity is positively related to Board Strategic Role, Directors Skills, Board Procedures and Board Accountability. However, the results showed that Board Control Role and Board Fairness are negatively linked to perceived business continuity in sampled Tunisian corporate groups.

This paper examines the similarities and differences in cultural (societal and organizational) an... more This paper examines the similarities and differences in cultural (societal and organizational) and leadership aspects in Tunisia in regard with management in the Mediterranean – Latin and Arab cluster’s. The study is based on the application of the GLOBE project on a sample of 106 Tunisian middle managers and its benchmarking with data from the GLOBE project for five Mediterranean – Latin countries (Greece, Italy, France, Spain, and Portugal) and four Arab countries (Morocco, Egypt, Kuwait and Qatar). The findings of the present study suggest that there are more similarities than differences of the Tunisian management with management in Arab and Latin – Mediterranean clusters.

The study is based on the application of the GLOBE project on a sample of 106 Tunisian middle managers and its benchmarking with data from the GLOBE project for five Mediterranean – Latin countries (Greece, Italy, France, Spain, and Portugal) and four Arab countries (Morocco, Egypt, Kuwait and Qatar). The findings of the present study suggest that there are more similarities than differences of the Tunisian management with management in Arab and Latin – Mediterranean clusters.
This chapter investigates the influence of the board composition and leadership on Corporate Soci... more This chapter investigates the influence of the board composition and leadership on Corporate Social Responsibility (CSR) disclosure. The empirical study of 68 Tunisian listed companies and 100 Egyptian listed companies reveals that board independence, foreign directorship, female directorship and state directorship, influence positively CSR disclosure. However, these findings indicate that CEO duality has a negative impact on CSR disclosure. Overall, the findings are consistent with the agency theory as well as the stakeholders theory and suggest that CSR disclosure seems to result from the willingness to meet shareholders' expectations in terms of transparency and voluntary disclosure of non-financial information.
