This book deals with problems of long-term contracts – a main field of research for economists bu... more This book deals with problems of long-term contracts – a main field of research for economists but, surprisingly, less so for lawyers. Building on the insights developed by economists, it focuses on five problems of paramount importance for long-term contracts: good faith and fiduciary duties, change of circumstances and force majeure (including contract design, risk distribution and renegotiation), termination for cause and, finally, penalty clauses.
The book is comparative (primarily focusing on German, French and English law, additionally drawing on international restatements and principles (UNIDROIT PICC, PECL, DCFR).
One section the book is devoted to the questions regarding legislating Long term contracts.
Aspects of drafting and the interplay with Default rules and drafting are addressed throughout the book,

ABSTRACT The European Commission (EC) has made clear its intention to further harmonise private l... more ABSTRACT The European Commission (EC) has made clear its intention to further harmonise private law in Europe. The state of contract law in Europe is fragmentary. Different levels of consumer protection exist from one Member State to another as relevant European directives only establish a minimum level. As a consequence, businesses serving customers in more than one Member State incur higher costs because of various and different rules that must be complied with. Empirical data suggests that businesses frequently avoid cross-border trade for this reason. The EC is proposing as a solution an optional European contract law regime that could be elected by parties. It would embody a high level of consumer protection and its rules would take precedence over all national rules, including mandatory rules.This paper argues that such a choice would not be exercised by consumers, but rather by businesses, which will opt for it in their standard contract terms – if at all. A lack of court decisions and little academic literature make success far from certain. Nevertheless, the optional regime could be attractive for businesses, depending on the content of the rules (which are currently being drafted). It will also depend on the scope of the instrument and more specifically on whether a business can apply it to most or all contracts if it so wishes. Therefore, the scope should not be limited to cross-border trade or to e-commerce or to B2B or B2C contracts.Finally, this paper argues that the potential for simplification and, hence, cost reduction through a single uniform contract law regime may be greater in regular trade than in e-commerce for businesses such as large retailers operating through stores as they could streamline their general terms and their contractual duties according to a single set of rules for all contracts concluded in any Member State of the EU.

When parties opt to apply it (opt-in), it will set aside all national rules, including mandatory rules of the Member States. The level of consumer protection of the optional instrument will be very high. A choice will only be possible for the entire instrument, preventing parties from cherry picking. The result should allow businesses to overcome the current legal fragmentation in Europe, providing them with the possibility to contract with one single set of rules throughout Europe. In other words, the objective is to eliminate one of the obstacles the internal market currently faces.This Paper will show that the choice for the optional instrument, unlike what is sometimes discussed, will be exercised by businesses, not consumers. This paper deals with the French théorie de l'imprévision and the context of hardship due to ... more This paper deals with the French théorie de l'imprévision and the context of hardship due to changed circumstances. The famous canal de Craponne case, decided by the Cour de cassation in 1876, continues to define court practice, with significant consequences for contract practice and subsequent court decisions. The position adopted by the Cour de cassation in its landmark decision has had repercussions not only and directly as regards imprévision, but also in the context of bonne foi and cause. The unfortunate results are a lack of both legal certainty and fairness. There is a broad perception that the status quo is unsatisfactory and all three of the competing drafts for the pending modernisation of the French law of obligations propose the adoption of a rule in the Code civil. However, these concepts vary considerably. A comparison of the respective strengths and weaknesses of these drafts concludes with a suggestion to follow the approach advanced by the Chancellerie project....

Der Beitrag geht zunächst auf die Geschäftsleiterhaftung ein und hinterfragt dabei die verbreitet... more Der Beitrag geht zunächst auf die Geschäftsleiterhaftung ein und hinterfragt dabei die verbreitete Annahme überzogener Haftungsrisiken. Es folgt ein Überblick zu den aktuellen Fragen der D&O-Versicherung. Zuerst wird auf die Veränderungen der Versicherungsprodukte eingegangen. Auf dieser Grundlage werden Probleme des Vergütungscharakters der D&O-Versicherung, der je nach Gestaltung gegeben sein kann, sowie die Zuständigkeitsfragen zum Abschluss behandelt. Schließlich erörtert der Beitrag zentrale Gestaltungsfragen der D&O-Versicherung.
