Interest in corporate governance continues to increase, both inside and outside academia, togethe... more Interest in corporate governance continues to increase, both inside and outside academia, together with recognition of its importance. Despite advances in research on corporate governance, many questions remain regarding good governance and factors contributing to good decision-making. The aim of international conference “New Challenges in Corporate Governance: Theory And Practice” is to move the field closer to a global theory by advancing our understanding of corporate governance, which combines insights from the literature on firm governance bundles with insights from the national governance systems literature, investigating new perspectives and challenges for corporate governance and outlining possible scenarios of its development. The conference calls for more attention to ESG factors and voluntary disclosure and calls to explore how good governance can help boards enhance their decision making and improve performance

ABSTRACT Technology, innovation and time to market become key success factors in high-tech indust... more ABSTRACT Technology, innovation and time to market become key success factors in high-tech industries, where “technological convergence”, i.e. the process by which diverse industries came to share similar technological bases (Rosenberg, 1976), imposes to share and exchange knowledge and resources (Bozeman et al., 2007). This shed light on the emerging relevance of cooperation, alliances, networks, communities and other inter-firm ties in firm’s innovation activities (Baum et al., 2000). In particular, strategic alliances, i.e. the cooperative inter-firm agreements for achieving a durable competitive advantage (Das and Teng, 2000), represent a viable option for inter-firm collaboration in the high-tech industries, as strategic alliances appear positively associated to firms’ dynamic capabilities and innovative performance (Doz and Hamel, 1998; Eisenhardt and Martin, 2000; Lhuillery and Pfister, 2009). Indeed, environmental uncertainty and speedy technological breakthrough, characterizing high-tech industries, demand rapid learning, organizational flexibility and firm’s strategic reactivity. Therefore, firms operating in highly competitive environments growingly resort to strategic alliances, as they enhance knowledge sharing between partners (Mowery et al., 1996), allow innovative performance (Schilling and Phelps, 2007), ensure organizational flexibility (Doz and Hamel, 1998; Hagedoorn and Duyster, 2002), share costs and moderate risks related to highly uncertain research and development (R&D) projects (Grant and Baden-Fuller, 2004; Jiang et al., 2010). Extant literature, in particular, recognized the predominant role of technological strategic alliances, i.e. inter-firm cooperation agreements implying joint innovative activity and/or exchange of technology (Gulati et al., 2000; Sampson, 2007), in fostering and boosting firm’s innovative performance, both in terms of new patent application and products development (Baum et al., 2000; Hagedoorn and Duyster, 2002). As so far, a large proportion of the literature on technological alliances and R&D cooperation has focused on why firms engage alliance (Das and Teng, 2000; Grant and Baden-Fuller, 2004) and partner selection criteria (Miotti and Sachwald, 2003; Colombo et al., 2006; Arranz and de Arroyabe, 2008). On the contrary, the specific dimensions of technological alliances which impact on innovation still remain under-explored (Belderbos et al., 2004; Schilling and Phelps, 2007). Moreover, as previous contributions are basically qualitative in nature, a solid empirical base has to be provided for deeper investigating the impact on firm innovation of the resources exchanged within the alliance and the technological alliances portfolio characteristics. In this regards, a resource-based perspective, grounding on the role played by unique resources and inter-firm ties in enhancing firm’s competitive advantage and innovative performance (Rumelt, 1984), appears particularly appropriate. The present contribution, by addressing Aerospace and Defence (A&D) industry, i.e. one of the most competitive and knowledge-intensive sector among high-tech industries, aims at empirically investigating the impact on firm’s innovative performance (measured as propensity to patent) of the resources shared and the technological alliances portfolio characteristics.

All'interno di questa definizione si collocano una varietà di forme organizzative tali da indurre gli studiosi a cercare una metodologia d'analisi che le sintetizzi e classifi-]. In letteratura, infatti, sono stati sviluppati alcuni approcci che propongono una raffigurazione delle influenze che la struttura proprietaria può generare nei comportamenti decisionali adottati [Steier, Chrisman e Chua 2004, 295-303]. Pertanto, premesso che la partecipazione familiare nella proprietà e/o nel management dell'impresa costituisce il principale fattore di distinzione delle imprese familiari da altre forme organizzative [Sharma 2004, 1-36; Davis 1982; Montanari 2003, 5-6], si individuano due prospettive d'analisi: una strutturale e l'altra sistemica [Chua, Chrisman e Sharma 1999, 19-39].
In this work the dynamics of the territorial development of the district systems are analyzed, co... more In this work the dynamics of the territorial development of the district systems are analyzed, considering the territorial competition as a biological evolutionism. From this, we suggest a model aimed to explain the points of strength and weakness of the district systems, divided into three different and correlated phases, made up of structural, relational and strategic dimension. Such a model, allowing to appraise the results of desk and field analyses made on a sample of firms of the nautical local system in the Province of Latina, has underlined the existence of a meaningful identification of the district firms with the territory, promoting a "mark of area" of "Made in Latina" products and strengthening the identity of the local productive system through strategies of manufacturing and commercial cooperation among the actors of the locally individualized compartment.
