The paper aims at identifying impact of corporate governance variables i.e. board structure (board size, board independence, board activity and board busyness) and ownership structure (foreign promoters holding, institutional shareholding and CEO duality) on financial disclosures made by the Indian firms. Using cross sectional data of 325 listed firms for the financial year 2009-10, we compute financial disclosure score (using 171 checklist points) based on disclosure requirements of accounting standards. We find average disclosure score of 73%, maximum and minimum being 100% and 46% respectively. Our finding support agency theory in terms of monitoring role of board since board size is found to be significant however we do not find any influence of board independence on the disclosures. This study investigates the association between firm characteristics, corporate governance attributes and the level of corporate disclosure of listed firms in India. The research paper has been based on a sample of 60 firms listed in the Bombay Stock Exchange (BSE) / National Stock Exchange (NSE) during the study period from 2000-01 to 2009-10. The study has used the Standard & Poor (2008) model for measuring the level of corporate disclosure. To examine the association between explanatory variables and the level of corporate disclosure, multiple regression model has been used. The results suggest a positive relationship between board size, ratio of audit committee members to total board members, family control, CEO duality, firm size, profitability, liquidity and the extent of corporate disclosure. However, the degree of corporate disclosure is negatively related to board composition, leverage and age of the firm.

The main objective of this study is to explore empirically the corporate governance mechanisms in UAE that may affect the extent to which forward-looking information is disclosed. This study utilizes a sample of firms that are listed in either the Dubai Financial Market or the Abu Dubai Securities Market. It uses the accounting and market data available for 2007-2009. This study concludes that three of the corporate governance mechanisms [i.e., institutional investors; ownership (> 10%); debt ratio] have a negative impact on the level forward-looking information disclosure; whereas the governmental investors and ownership (5-10%) are found to have a positive effect on the level of forward-looking information disclosure. This study aims to examine the effect of corporate governance, as measured by the effectiveness of the board of commissioners, the effectiveness of the directors, as well as the concentration of ownership to the level of mandatory forward-looking disclosures in the annual report. This study also aims to test the effect of mandatory forward-looking disclosures in the ability to anticipate future earnings in the current stock price. The results of the study support that the effectiveness of directors is positively associated with the level of forward-looking disclosures and ownership concentration is negatively associated with the level of forward-looking disclosures. However, this study found no significant relationship between the level of forward-looking disclosure and the effectiveness of the board of commissioners. The study also found no association between the level of forward-looking disclosures and the ability to anticipate future earnings in current stock prices.

Financial markets, particularly in the developed markets, have started including non-quantitative disclosures as one of the important key performance indicators and valuation drivers. Notably, the quality of corporate governance, reflected in the board of directors and audit quality, serves as a key performance metric. This paper explores the relationship between market performance, corporate governance practices, and quality of disclosures (QOD) (measured through an index) in Indian financial firms (government-owned banks, private banks, and NBFCs). We assess market performance using price-book value and its dependence on qualitative variables such as corporate governance index (CGI) and QOD. Findings indicate that the market performance of financial firms is influenced by standard accounting ratios such as return on assets, capital adequacy ratio, and non-performing assets, as expected. CGI and QOD have improved over time across all financial firm categories. However, while CGI exhibits a positive relationship with firm performance, the link between market performance and QOD is less definitive. This study, limited to select banks based on market capitalization, explores the relationship between market and accounting performance over five years (2016-2020), with a focus on three consecutive years (2012, 2016, and 2020) to explore the correlation between their market performance and key qualitative factors such as CGI and QOD.
This paper investigates the state of Corporate Governance (CG) performance in India. The main goal is to ascertain the determinants of CG through content analysis. As part of this investigation, statistical significance of categories based on CG performance index (CGPI), possibility of selective improvement of themes and analysis for ascertaining scoping and focusing of limited attributes within a theme for improvement. While at a macro level categories used mean with standard deviation rules, but at micro level homogenous clusters were identified with k mean cluster analysis within a category to enable deeper profiling. For scoping of attributes; factor analysis with Principal Component Analysis and Varimax rotation is employed. Ordinary Least Squares (OLS) regression and Ordinal Logistic Regression (OLR) are utilized in this study for econometric modeling. This study help rate the progress of reforms, plan further reforms and enable investors to choose the right firms. Major findings of the paper are; there exists statistically significant differences among categories and across theme indices. High adjusted R square linear regressions and subsequent sensitivity analysis short listed critical attributes to focus. The above findings suggest high predictive ability of OLR-OLS system of equations highlighting the possibility of focusing on limited attributes within a theme, but need for holistic approach on CG with all themes as a requirement are the inferences.

This study intends to investigate the relationship between corporate governance and disclosure quality. The study uses disclosure index to find out the firm's disclosure quality. For this purpose a sample of eighty firms listed on Karachi Stock Exchange (KSE) for the period of ten years i.e. 2005 to 2014 has been considered. Corporate governance variables tested for this study are the audit committee independence, board size, board independence, CEO duality, family ownership, institutional ownership. To measure the disclosure quality of the individual firms, the study has used the index score and it is checked against the information disclosed in the annual reports. Panel data estimation models have been employed for the purpose of analysis. The results reveal that better disclosure quality of the annual reports in non-financial sector can be achieved by having higher proportion of independent non-executive directors, separate board leadership structure, larger board size, higher the institutional ownership and lower ownership by family members in case of Pakistan.

The Indian corporate governance relationships have evolved over time as a result of both formal and informal stakeholder interactions, with changes to Clause 49 triggering a further evolutionary move in Indian corporate governance towards global benchmarks. This study seeks to gain insights into how the regulatory changes impacted corporate governance (CG) practices in India by measuring their effect on performance. We construct a "CG Compliance Index" using three important governance mechanisms for the year 2008. The analysis reveals that majority companies have complied by the regulations depicted by high CG compliance score and have a significant positive relationship between CG Compliance Index and the market measure of financial performance of companies.

The forward-looking information disclosure presents the information that enables the beneficiaries to evaluate a company's future that might involve financial forecasts and uncertainty. This affects the company's performance and decreases the stock return volatility. The present research aims at integrated modeling of the causes and consequences of forward-looking information disclosure. This study is an applied descriptive correlational research. The sample included 93 companies listed on the Tehran stock exchange from 2013 to 2019. The impact of all the causes of forward-looking information disclosure and its consequences was extracted by applying the structural equation asymmetry, and the causes of forward-looking information disclosure include macroeconomic features, financial performance, ownership structure, board characteristics, structural properties, and audit. In short, according to the obtained results, the forward-looking information disclosure significantly positively affects the capital cost. On the contrary, it has no significant influence on informational asymmetry. Further, the results of testing the model revealed that the variables of ownership structure and financial performance positively influence forwardlooking information disclosure. In addition, the impact of macroeconomic characteristics is negative, and there is no relationship between the forwardlooking information disclosure with the audit, structural features, and the board's characteristics.
