Islamic Donation-Based Crowdfunding: Preliminary Shariah Governance Proposal

This study attempts to develop Islamic donation-based crowdfunding (IDCF) framework which preserve rights of related stakeholders. Crowdfunding (CF) is derived from and Regularly, CF embeds the digital technology that enables the collections of funds from mass numbers of crowd through the electronic platforms. Several challenges related to Islamic donationbased crowdfunding (IDCF) are contractual obligations, CF activities, legal and governance. Lack of clarity on those aspects will lead to potential non-compliance and lack of confidence among the stakeholders. This study proposes the IDCF governance framework as solutions for the study. This paper adopts qualitative approach through semi structured interview. This study involves six platforms, where each of the platforms represented by management of CF that declared as IDCF. The data was analyzed using thematic analysis. The preliminary Islamic donation-based crowdfunding framework (IDCF) is proposed with consideration of contract used, and the relationship between the platforms and stakeholders. The factors will strengthen the internal governance structure and CF activities.
Financial Management Practices in Islamic Donation-Based Crowdfunding (DCF) Platforms in Malaysia

This study aims to explore current financial management practices covering governance and financial operation aspects in Islamic donation-based crowdfunding (DCF) in Malaysia. A series of interviews with six Islamic DCF platforms in Malaysia were conducted. For reporting purposes, this study employed a single-case study approach. The interview was conducted and completed at the end of August 2022 via an online approach through Google Meet. The findings highlight the governance background in terms of legal establishment as well as monitoring the function of Islamic DCFs in Malaysia. In addition, for financial operation, several findings related to the funding management process model, income generation, financial sustainability and financial disclosure of Islamic DCFs in Malaysia were discussed. This study is among the pioneer studies that explore financial management practices in Islamic DCF platforms in Malaysia. The study findings and recommendations are useful for Islamic DCF platforms as well as related parties like regulators, funders, potential project managers and the public in general to understand financial management practices in Islamic DCF platforms in Malaysia.

The emergence of innovative digital financial technologies has made donation-crowdfunding viable as a method that can supplement traditional fundraising mechanisms. Crowdfunding has recently gained worldwide attention as an alternative financing mechanism to the traditional fundraising methods for business ventures or social projects. While donation-crowdfunding which utilise platforms has demonstrated promising growth, there is no established legal framework available to accommodate its operation, especially for Islamic ones. Therefore, this study provides intuitive information pertaining to legal and Shariah issues in governing Islamic donation-based crowdfunding in Malaysia. Drawing from the conceptual framework of Islamic economics and qualitative data collection through semi-structured with six representatives of the Islamic donation-crowdfunding platforms, this study concludes that the issues associated with Malaysian regulations regimes and Shariah issues revolve around the donation- based crowdfunding platforms business model should be considered when devising a Shariah framework for donation-crowdfunding schemes. The findings will help policymakers to formulate and put in place the appropriate regulatory framework to facilitate Islamic donation-based crowdfunding practice.
Equity-Crowdfunding in Malaysia: The Needs for A Comprehensive Shariah Governance

In recent years, crowdfunding has emerged as a viable alternative channel for entrepreneurs to fund their early-stage businesses. The rapid development of the internet worldwide has turned crowdfunding into a mechanism that can pool resources from people to people without financial intermediaries. This unique alternative finance could support Islamic finance as far as its practices comply with Shariah since crowdfunding philosophy has already in line with the spirit of Shariah in terms of promoting wealth distribution, encouraging transparency and supporting socio-justice. Shariah Compliance Analysis of Islamic Crowdfunding: Case Study of ethiscrowd.com

This paper aims to analyze the mechanism and implementation of crowdfunding on ethiscrowd.com and the evaluation of shariah compliance. Based on the parameters of shariah compliance proposed by Rosly (2010) it can be seen that the implementation of shariah crowdfunding of ethiscrowd.com has fulfilled the three parameters of shariah compliance namely ‘aqd, maqasid al-shariah and legal documentation. Meanwhile, in the case of financial and accounting reporting disclosed the ethiscrowd.com is not yet not fulfilling existing of regulations, where crowdfunding companies should publish detailed financial reports. The management of ethiscrowd.com only publishes project development reports funded by investors. This is because there is no specific provision for disclosing financial reporting and accounting for financial technology companies, especially those engaged in equity crowdfunding.

This research aims to investigate the potential and obstacles to implementing Sharia crowdfunding in supporting the social initiatives of the Medan City Muhammadiyah Student Association. The research method used is a qualitative approach with case studies, involving interviews with administrators and analysis of documents related to previous social initiatives. The research results highlight several main challenges, including limited financial resources, uncertainty in fundraising, and a lack of understanding regarding sharia crowdfunding. With an in-depth analysis of financial challenges, effective communication strategies, and the role of education, this research provides a comprehensive understanding and a concrete foundation for the development of a Sharia crowdfunding model that is appropriate to the organizational context. The implications of these findings include strategic steps to ensure the sustainability and success of social initiatives in the future.

Equity Crowdfunding in Malaysia: Legal and Sharia Challenges

Equity crowdfunding (ECF) emerged as an alternative for Small and Medium Enterprises as well as start-ups (Issuer) to raise funds by selling securities to the public by using online portal-based platform (ECF Platform). Individuals who invest in the company are called equity-holder (Investor). Since the introduction of regulatory framework of ECF by Securities Commission in 2015, the number of funds raised through ECF platform has increased each year and so do issuers who have successfully reached the fundraising target. However, the funds raised declined in 2018. This happened due to among others, the presence of challenges faced by parties in ECF transaction which are investor, issuer and ECF platform operator. Hence, besides analyzing the concept of ECF, this study highlighting some of legal and potential Sharia challenges surrounding its application. This qualitative research utilizes primary and secondary data gained from scientific database analysis and library research including guidelines, statutes, books, articles, reports and precedents on ECF. The method of data analysis are jurisprudence and comparative assessment. The finding shows that the risk of loss, fraud and liquidity are common concern. Perhaps less obvious, but nevertheless present, are Sharia challenges due to indefinite power of Sharia Adviser and the differing thoughts on the structure of equity. The article concludes by stressing on the need to find the right balance between protecting investors and facilitating access to financing that can reduce the financial constraints on entrepreneurs. Contribution/ Originality: This study is one of very few studies which have investigated legal and potential Sharia challenges of equity crowdfunding (ECF) faced by parties to the transaction namely investor, issuer and ECF platform operator. The challenges require attention from Securities Commission to ensure its sustainability given the benefits it may bring to society.
Islamic Securities Crowdfunding Based on Indonesia's Islamic and Positive Law Perspective

This paper analyzes Islamic Securities Crowdfunding (SCF) based on Indonesia's Islamic and positive law perspectives. This paper is a descriptive qualitative by using a normative juridical approach that observes the governing or binding law in society with the convergence on Islamic law and regulations of the Indonesian Financial Services Authority (OJK). The findings reveal that the practice of Islamic SCF is allowed by referring to the Qur'an, Hadith, legal maxim, maqasid al-shariah, and syirkah musahamah contract in DSN-MUI Fatwa No.140/DSN-MUI/VIII/2021 issued on August 24, 2021. Furthermore, from the positive law's perspective, Islamic SCF is allowed to operate by referring to POJK No.57/POJK.04/2020, which accommodates to four principal regulations, namely, organizers, crowdfunding services, issuers, and financiers
