Corporate governance has received an increasing amount of attention in recent years. Corporate scandals have brought corporate governance weaknesses to the attention of the general public, especially in the United States. Weaknesses in the corporate structure of some Asian countries have been partly blamed for some recessions that have occurred there. This paper begins with an overview of some basic corporate governance principles as identified by the OECD, World Bank and IMF, then proceeds to examine how these principles are being applied in Indonesia, Malaysia, Thailand and Vietnam.

The purpose of this paper is twofold. Firstly, we propose a specific method with a detailed questionnaire with 60 questions, divided into five main components: Shareholders and general shareholders' meeting; Board of directors; Supervisory board; Disclosure and transparency, auditing and Violations. Second, the method will then be applied to calculate the CGI for 40 Vietnamese commercial banks in three years 2010, 2011 and 2012. To our best knowledge, this is the first time that a questionnaire has been designed and applied to construct the CGI for the Vietnamese banking sector. And thirdly, statistical analysis has been performed to examine the characteristics of the results obtained from the questionnaire.
Corporate Governance and Bank Performance An International Comparison: Vietnam and Malaysia

Corporate governance has become one of the most popular phenomena that draw the worldwide attention recently as this issue has significant influences on the performance of almost every business. Regarding banking industry, the adoption of good corporate governance is much more vital, because a smooth and well-performed banking system lies at the heart of economic development in each country. This paper is to provide a deep look into the relationship between corporate governance and performance of banking sector, especially in two countries, namely Vietnam and Malaysia by presenting both theoretical framework and empirical study. The part of theoretical framework provides readers with profound knowledge about corporate governance in general as well as bank corporate governance in particular with two famous frameworks. In the empirical study section, a number of commercial banks in Vietnam and Malaysia have been randomly chosen as a sample to run econometric models which examine the effect of several variables of corporate governance on the bank performance. The overall result of study shows that board size, audit committee size, and capital adequacy ratio has a significant effect on both Vietnamese and Malaysian commercial banks and there exists the difference in the influence of some corporate governance proxies on the bank performance between Vietnam and Malaysia.

Corporate governance is one of the most imperative research topics all over the world for its contribution to the corporations and the global economy. Besides, Asian economy is currently the major contributor of the world economy. Laws and regulations in the Asian region have been enacted extensively and different standards have been developed during the last decade. This descriptive study attempts to summarize these developments in Asia along with the discussion of core concept of corporate governance for the new researchers in this field and other concern parties.

The paper examines the impact of corporate governance on performance of Vietnamese banks. The Corporate Governance Index has been used to evaluate corporate governance of Vietnamese banks in the period of 2010-2012. The return on equity and return on assets have been used to measure the bank performance. It is found that there is a significant gap between actual practices of corporate governance of Vietnamese banks and the international principles, a statistically significant difference in corporate governance of listed banks and non-listed banks in Vietnam. Better corporate governance is associated with better performance. The authors also have found the positive correlation of disclosure, the role of board of directors, shareholders and shareholder meetings with bank performance in Vietnamese banks. The relationship between supervisory board and bank performance has not been found. These findings lay a foundation for policy makers to make necessary changes to improve corporate governance (i.e role of Board of directors, disclosure and shareholder issues) of banks in Vietnam in the current restructure of the banking system.
